The Management Board of the Central Bank approved the ‘Guidelines on the organization of underwiring by investment companies’ (Guidelines).
The Guidelines establish methodological principles for the preparation of internal rules in accordance with sub-item 17.2.9 of the ‘Regulation on provision of investment services (operations) by investment companies and banks’, as well as for the conduct of underwriting of securities placed through public offering.
The Guidelines are intended to ensure that potential investors receive comprehensive information about issuers, including their financial condition, corporate governance, risks and risk management practices.
The Guidelines divide the underwriting process into four main stages and outlines methodological approaches for each. This framework is based on international practices while reflecting local legal requirements.
